Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website, tools, diagnostics, reports, and services provided by NOETRON LLC (“NOETRON,” “we,” “us,” or “our”), a Wyoming limited liability company with its principal place of business in Sheridan, Wyoming, operating at noetron.ai (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement under these Terms. If you are using the Service on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

NOETRON provides AI-powered diagnostic tools, business intelligence scoring, advisory reports, company intelligence analyses, and related business assessment services. Our platform leverages multi-model AI consensus architecture to generate insights, scores, and recommendations across multiple industries and business domains.

The Service includes both free-tier tools (available without payment) and premium services (requiring payment). We reserve the right to change which features are available at each tier at any time.

All tools and reports are provided for educational and informational purposes only. Results are generated by artificial intelligence systems and are intended to supplement, not replace, professional judgment and qualified professional advice.

4. AI-Generated Content

All reports, scores, analyses, and recommendations produced by NOETRON are generated by artificial intelligence systems. While we employ multiple AI models and cross-validation techniques to improve accuracy, AI-generated content may contain errors, inaccuracies, or omissions.

You acknowledge and agree that:

• AI models can produce incorrect, incomplete, or misleading outputs despite our best efforts at quality control
• Scores and rankings are based on the information you provide and publicly available data, which may be incomplete or outdated
• Industry benchmarks are derived from aggregated data and may not perfectly reflect your specific business situation
• Results should be treated as one input among many in your decision-making process, not as definitive conclusions
• NOETRON does not guarantee the accuracy, reliability, or completeness of any AI-generated output

5. Acceptable Use Policy

When using the Service, you agree to the following rules of conduct. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access.

You agree to:

• Provide accurate, current, and truthful information in all assessments, forms, and inputs
• Use the Service only for lawful purposes and in compliance with all applicable laws and regulations
• Maintain the confidentiality of any account credentials associated with your use of the Service

You agree not to:

• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service, including our scoring algorithms, AI models, or analytical methodologies
• Use automated systems, bots, scrapers, or scripts to access the Service in bulk or to extract data systematically
• Resell, redistribute, sublicense, or commercially exploit NOETRON reports, scores, or outputs without prior written consent
• Misrepresent NOETRON reports as your own original work or as constituting professional advice
• Use the Service to generate content that is harmful, defamatory, fraudulent, obscene, or illegal
• Attempt to probe, scan, or test the vulnerability of the Service, or circumvent any security or authentication measures
• Interfere with, disrupt, or place an unreasonable burden on the Service or its underlying infrastructure
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
• Use the Service to compete directly with NOETRON by building a substantially similar product or service

6. Payment Terms

Certain NOETRON services and premium reports require payment. All payment processing is handled securely by Stripe. NOETRON does not store, process, or have access to your payment card numbers, bank account details, or other sensitive financial information. All payment data is transmitted directly to and handled by Stripe in accordance with PCI DSS compliance standards.

Pricing

Prices for premium services are displayed at the point of purchase and are denominated in U.S. dollars unless otherwise stated. NOETRON reserves the right to change pricing at any time, but price changes will not affect orders already completed.

Refund Policy

Due to the digital nature of our reports and the computational resources required to generate them, all sales are final once a report has been generated and delivered to you. However:

• If you experience a technical issue that prevents delivery of a purchased report, contact us and we will either re-deliver the report or issue a full refund
• If a report is materially defective or substantially fails to deliver the described service, we will work with you to resolve the issue, which may include issuing a credit or refund at our discretion

Taxes

You are responsible for any applicable taxes, duties, or government-imposed fees associated with your use of paid services. NOETRON will collect and remit sales tax where legally required.

7. Intellectual Property

NOETRON’s Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, the NOETRON name and brand, tool designs, user interface elements, scoring methodologies, analytical frameworks, software code, and documentation, are the exclusive property of NOETRON LLC and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

Your License to Reports

Reports, scores, and analyses generated for you through the Service are licensed to you under a limited, non-exclusive, non-transferable license for your personal or internal business use. You may share reports within your organization. You may not resell, commercially redistribute, or sublicense reports or outputs without prior written consent from NOETRON LLC.

Your Content

You retain ownership of the data and information you submit to the Service (e.g., assessment responses, company information). By submitting content, you grant NOETRON a non-exclusive, royalty-free, worldwide license to use, process, and analyze that content for the purpose of providing the Service and improving our tools. In anonymized and aggregated form, submitted data may be used to build industry benchmarks.

8. Data Handling & Privacy

Your privacy matters to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data submitted through our tools is processed by third-party AI model providers as part of generating your reports. While we select providers with strong security and privacy practices, you should not submit highly sensitive, classified, or legally privileged information through the Service.

9. Modifications to the Service

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. This includes adding or removing tools, changing pricing, updating scoring methodologies, modifying the user interface, or retiring specific features.

We will make reasonable efforts to notify users of significant changes, but we are not obligated to maintain any particular tool, feature, or pricing structure indefinitely. NOETRON shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOETRON LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Loss of goodwill or reputation
• Business interruption
• Cost of procurement of substitute services
• Any damages arising from reliance on AI-generated reports, scores, or recommendations

THESE LIMITATIONS APPLY WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF THE SERVICE, INABILITY TO USE THE SERVICE, OR ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF NOETRON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NOETRON’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO NOETRON IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

You agree to indemnify, defend, and hold harmless NOETRON LLC and its members, managers, officers, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in any way connected with:

• Your use of or access to the Service
• Your violation of any provision of these Terms
• Your violation of any rights of a third party, including intellectual property rights
• Any content or data you submit through the Service
• Any claim that your use of the Service caused damage to a third party

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Informal Resolution

Before initiating any formal proceeding, you agree to first contact NOETRON at info@noetron.ai and attempt to resolve any dispute informally for a period of at least thirty (30) days.

Binding Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in the State of Wyoming under the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against NOETRON LLC.

Termination by NOETRON

We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including but not limited to conduct that we believe violates these Terms, is harmful to other users or third parties, or is otherwise objectionable.

Termination by You

You may stop using the Service at any time. If you have an account, you may request account deletion by contacting info@noetron.ai.

Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. The following sections of these Terms shall survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law & Dispute Resolution, and any other provisions that by their nature should survive.

Termination does not entitle you to a refund of any fees previously paid for services already rendered.

The Service may contain links to or integrations with third-party websites, services, or resources. NOETRON is not responsible for the availability, accuracy, or content of such third-party services, and does not endorse any products, services, or information offered by third parties.

Your interactions with third-party services are governed solely by the terms and policies of those third parties. NOETRON shall not be liable for any damage or loss caused by your reliance on or use of any third-party service.

16. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by NOETRON on the Service, constitute the entire agreement between you and NOETRON LLC regarding your use of the Service. These Terms supersede any prior agreements, communications, or understandings, whether oral or written, regarding the subject matter herein.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. NOETRON’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
